1. Provider identification
This site and its associated services are provided by Bouzon Digital, the trade name under which Pablo Bouzon (NIE Z0115635L) operates, with address at Av. Gamonal 4, Benalmádena (Málaga), Spain, contact email [email protected].
2. Purpose
Bouzon Digital provides digital services for hospitality and retail businesses, contracted on a subscription basis, which may include, depending on the plan: website design and hosting, an online booking system, an online shop/ordering system, a cloud POS, stock & recipe control, and professional email. Unless expressly agreed otherwise, the service is provided and hosted on Bouzon Digital's infrastructure. The exact scope is that of the plan each client contracts.
3. Who may contract, and acceptance
The services are aimed at professionals and businesses (business-to-business, B2B). By contracting the service and/or authorising the direct debit or payment method for the subscription, the client declares that it acts within its business or professional activity and accepts these Terms. Continued use of the service also constitutes acceptance.
4. Subscription, prices and payment
The service is billed through recurring fees (normally monthly) according to the contracted plan and the prices in force communicated to the client. Payment is taken by direct debit (GoCardless) or the agreed payment method, and the subscription renews automatically for successive periods unless cancelled. The prices shown include applicable VAT (IVA).
5. Non-payment and service suspension
The service is provided while the subscription is paid up. If a charge fails or goes unpaid, Bouzon Digital will notify the client and grant a 7-calendar-day cure period to settle the payment. After that period without payment, Bouzon Digital may temporarily suspend the service (the website and/or tools become unavailable, showing an unavailability notice) until the debt is settled.
Such suspension is a provisional and reversible measure based on the counterparty's non-payment: it does not entail deletion of the client's content or data, which are restored once payment is regularised. Suspension does not release the client from amounts already due.
6. Licence and intellectual property
The software, platforms, templates and code developed by Bouzon Digital are granted to the client as a licence of use, not a sale, tied to an active subscription; Bouzon Digital retains ownership and intellectual property rights. The client retains ownership of its brand, content (text, images, menu) and data, granting Bouzon Digital a licence to host and display them while the service is provided.
7. Data protection (data processor)
To the extent the service processes personal data of the business's end customers (e.g. booking or order data), the client is the data controller and Bouzon Digital acts as data processor on its behalf (art. 28 GDPR), processing data only on the client's instructions and to provide the service, with servers in the European Union, applying appropriate security measures and not disclosing data to third parties except where legally required or to sub-processors necessary for the service. Processing of the client's own data is governed by the Privacy Policy.
8. Term, cancellation and termination
The subscription has no minimum commitment. The client may cancel at any time; the service remains active until the end of the period already paid and will not renew. The current period's fee is non-refundable.
Bouzon Digital reserves the right to refuse, suspend or terminate the service: (a) immediately for non-payment, breach of these Terms, or improper, fraudulent or unlawful use, as well as where the client's content or activity poses a legal or reputational risk; and (b) for convenience, without cause, on 15 days' notice, in which case the unused, already-paid portion of the fee will be refunded pro rata.
9. Availability and support
Bouzon Digital will use reasonable means to keep the service available, without guaranteeing uninterrupted availability (outages may occur due to maintenance, third-party incidents or force majeure). Support is provided by email and/or WhatsApp during business hours.
10. Liability
As this is a business-to-business relationship, Bouzon Digital's liability is limited to direct, duly proven damages and, in aggregate, to the amount of fees paid by the client in the three (3) months prior to the event giving rise to the claim. Bouzon Digital is not liable for loss of profit or indirect damages. Nothing in these Terms excludes liabilities that cannot be limited by law.
11. Changes to the Terms
Bouzon Digital may update these Terms for operational, legal or service-improvement reasons, giving the client reasonable prior notice. Use of the service after the new Terms take effect constitutes acceptance.
12. Governing law and jurisdiction
These Terms are governed by Spanish law. For any dispute, and waiving any other applicable jurisdiction, the parties submit to the Courts of Málaga (Spain).
